1. The Chicago C/C++ Users' Group (CCUG) is a voluntary
   non-incorporated association.

2. The CCUG will be governed by a Governing Board, also known as a
   Junta, consisting of no fewer than 2 and no more than 4 people.

3. Duties Of The Governing Board

   a. There will be 4 directorships in the governing board,
      corresponding to the governing board's 4 core duties.
      A board member may hold more than one directorship; thus,
      it is possible for there to be fewer than 4 board members.
   b. One board member will be the Communications Director, and will
      be responsible for all communications with CCUG members.  This
      duty will include maintaining a CCUG website, or websites.
   c. One board member will be the Event Director, and will be
      responsible for obtaining speakers, or other content, for all
      CCUG events.
   d. One board member will be the Operations Director, and will be
      responsible for finding a venue for all CCUG events.
   e. One board member will be the Treasurer, and will manage the
      CCUG's money.
   f. Every board member must hold at least one directorship; thus,
      there can be no more than 4 board members.
   g. Every board member must be a member of the CCUG.
   h. If the CCUG affiliates with the ACM SIGPLAN, than at least one
      board member must be a current member of the ACM.

4. Elections

   a. The CCUG members will elect a new governing board every 2
      years.  The election will commence on the first Tuesday on or
      after May 25.  An election period will extend over not less than
      three (3) calendar days and not more than seven (7) calendar days.
   b. Whenever, due to resignation, death, or other reasons, there is
      a core duty that no Junta member is willing to carry out, a
      special election must be called within 14 days for a new Junta
      member who will carry out that core duty.
   c. A replacement election may be called at any time, by either a
      majority of the CCUG membership, or by one-half of the governing
      board.  A replacement election replaces the entire Junta,
      although any Junta member may be re-elected.
   d. All CCUG members may vote in elections.  The Junta shall
      determine the procedure for becoming a CCUG member, and this
      procedure may change, but no existing member will ever be
      stripped of membership.
   e. The Junta will also determine the election procedure; however,
      no election procedure will require a CCUG member to use a
      non-free operating system, or to use non-free software.

5. Board Meetings

   a. The Junta must convene at least once a year, and someone must
      record the meeting minutes.  The person recording the meeting
      minutes may be, but need not be, a Junta member.  Within 72
      hours of a meeting, the meeting minutes must be made publicly
      available for inspection on the CCUG website, either directly or
      indirectly.  No Junta decision will be effective unless it is
      recorded in meeting minutes that are available to the public.
   b. No Junta meeting will adjourn before fixing the date of the next
      meeting.

6. These by-laws may be amended at any time with the agreement of 80%
   or more of the CCUG membership.
